Terms of Service

These Terms of Service (“Terms”) govern your use of OrgReach’s websites, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

  • “OrgReach”, “we”, “us” or “our” refers to OrgReach, a Missouri nonprofit public benefit corporation.

  • “You” or “User” means any individual or entity who accesses or uses the Service.

  • “Content” means text, images, audio, video, documents, livestreams, posts, private messages, and any other material you upload, post, or otherwise transmit via the Service.

2. Acceptance of Terms

By using the Service, you affirm that you are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement. These Terms constitute a legally binding contract between you and OrgReach.

3. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by posting a notice on the Service or sending you an email. Continued use of the Service after changes constitutes your acceptance of the new Terms.

4. Description of Service

OrgReach provides an ad-free video streaming and social platform that enables mission-driven organizations, small nonprofits, and aligned creators to broadcast live and on-demand content, engage communities, and maintain a digital presence without corporate algorithms or monetization pressure.

5. User Accounts

  1. Registration. To access certain features, you must register for an account and provide accurate, complete information.

  2. Account Security. You are responsible for safeguarding your password and for activities under your account. Notify us immediately of any unauthorized use.

  3. Account Suspension. We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.

6. Content Ownership and License

  1. Your Content. You retain all rights in Content you submit.

  2. License to OrgReach. By posting Content, you grant OrgReach a non-exclusive, worldwide, royalty-free license to host, use, distribute, and display that Content in connection with providing and promoting the Service.

  3. Third-Party Content. Any Content not owned by you is used under license or with permission of the owner.

7. Acceptable Use

You agree not to:

  • Post unlawful, infringing, defamatory, or otherwise objectionable Content.

  • Violate any intellectual property, privacy, or publicity rights.

  • Use the Service for spamming, phishing, or distributing malware.

  • Attempt to disrupt or interfere with the Service’s security or performance.

8. Community and Messaging Features

  • No Public Comments. Public commenting is disabled; private messaging is available. Organizations may choose to make selected messages public in their FAQ section.

  • Filtering by Interest. Users see only content matching their selected interests; no algorithmic suppression or “engagement-bait” is used.

9. Fees and Payments

Most features are free for viewers. Organizations may purchase premium add-ons (e.g., live overlays) or white-label services per our published pricing. All fees are non-refundable unless otherwise agreed in writing.

10. Termination

We may terminate or suspend your access at our discretion, without notice, if you breach these Terms. Upon termination, your right to use the Service immediately ceases.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. ORGREACH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORGREACH, ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify and hold OrgReach and its affiliates harmless from any claims, liabilities, losses, damages, or expenses (including attorneys’ fees) arising from your breach of these Terms or your Content.

14. Governing Law; Dispute Resolution

These Terms and any dispute arising under them shall be governed by the laws of the State of Missouri, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Boone County, Missouri.

15. DMCA Notice

If you believe your copyrighted work has been infringed, please provide a notice compliant with the Digital Millennium Copyright Act to our Designated Agent via email:

16. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement.

  • Severability. If any provision is held invalid, the remainder shall continue in full force.

  • Waiver. Our failure to enforce any right is not a waiver of that right.
